任意之債

乃債務人或債權人得以他種給付，代替原定給付之債。然任意之債，其給付物為特定，代替給付僅居於補充地位。

此種得以他種給付代替之權，稱為代替權或補充權。得代替之人，須有代替權，而無代替權者，僅得為原來之給付或請求為原定給付。
